3. Subscription, Billing, and Refunds

  • Subscription: Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually).
  • Billing: You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information.
  • Refunds: Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by BAgentAi on a case-by-case basis and granted at the sole discretion of BAgentAi.
  • Cancellation: You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

4. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate BAgentAi, a BAgentAi employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm BAgentAi or users of the Service or expose them to liability.

5. AI-Generated Content Disclaimer

Our Service utilizes Artificial Intelligence (AI) to generate content, responses, and automation workflows. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or up-to-date.
  • You are responsible for reviewing and verifying any AI-generated output before using it for business decisions or public communication.
  • We are not liable for any errors, omissions, or offensive content generated by AI models.

6. Service Availability and Uptime

We strive to maintain high availability of our Service. However, we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors.

8. No Guarantees

We make no guarantees regarding the results you may obtain from using the Service. This includes, but is not limited to, guarantees regarding marketing results, business growth, lead generation, or revenue increases. Your success depends on various factors outside our control.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in San Mateo County, California, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
